Terms of Use

Last updated: 10 August 2026

These Terms of Use ("Terms") govern your access to and use of the products and services provided by Neurophic Limited ("Neurophic," "we," "our," or "us"), a company registered in England and Wales. By creating an account or using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our services. Please also read our Privacy Policy, which explains how we collect and use your personal data.

1. About Us

Neurophic Limited is a company registered in England and Wales (company number: 16811885, registered address: 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ). You can contact us at [email protected].

Our website is https://neurophic.ai.

2. Our Services

Neurophic provides two connected services:

Personal. An AI chat service with persistent memory: conversations powered by third-party AI models, file uploads, and a Memory System that learns and retains context across sessions. Your plan also includes a personal API key and an MCP endpoint so you can connect your own AI assistants to your memory.

Projects. A developer console and API for adding per-user memory to applications you build. Projects let you store, retrieve and delete memories for your application's users, billed against prepaid project credit.

Our services are provided as digital content and services within the meaning of the Consumer Rights Act 2015. Your statutory rights are not affected by these Terms. Where you use Projects or the API in the course of a business, the additional provisions in the Projects and API section and Schedule 1 apply.

3. Eligibility and Accounts

You must be at least 18 years old to create an account and use our services. By registering, you confirm that you meet this requirement.

When you create an account, you must provide accurate and complete information. You sign in with your email address and a password. One-time passcodes sent to your email are used to verify your address and to reset your password.

You are responsible for maintaining the security of your account and must not share your access with others. Please notify us immediately at [email protected] if you suspect any unauthorised access.

Paid plans and credit purchases are currently available only to customers in the United Kingdom and the United States. By starting a subscription or purchasing credit, you confirm that you live in, or your business is established in, one of these countries. If a purchase is made from outside these countries, we may cancel it and issue a full refund.

4. Access and Invitations

Access to our services is currently provided on an invitation-only basis. You need a valid invitation code to create an account.

Neurophic is a paid service. Personal use requires a subscription (see Section 5), and Projects run on prepaid credit (see Section 6).

Invitation-based access may be restricted, modified, or discontinued at any time at our discretion, with reasonable notice. This includes moving accounts to different access tiers or revoking invitation access entirely.

5. Subscriptions and Payment

Plans. Personal access requires a monthly subscription. We offer three plans: Starter (£20 per month), Pro (£50 per month) and Max (£100 per month). All prices are in pounds sterling and are the total price payable. Each plan includes usage allowances (chat usage, stored memories, monthly memory writes and API requests), which are set out on the plans page in the app and form part of these Terms. Allowances reset each billing period and are shared across the app, your personal API key and the MCP endpoint. Allowances are hard limits: when you reach one, the relevant feature pauses until your next billing period begins. We never charge overage fees.

Fair use. Plan allowances assume typical patterns of use. To keep the service sustainable, each plan also includes a fair-use ceiling on the background processing cost of the chat and memory features, set well above typical usage levels. If your use reaches it, the affected features pause until your next billing period begins and then resume automatically. You are never charged extra, and this does not affect your right to cancel.

Payment. Payments are processed by Stripe. We do not hold your card details; Stripe does. Invoices are available from the Billing page in your account settings.

Free trial. The Starter plan includes a 7-day free trial, available once per customer. Payment details are collected when you start the trial, and the first charge is taken automatically when the trial ends unless you cancel before then.

Renewal and cancellation. Subscriptions renew automatically each month until cancelled. You can cancel at any time from the Billing page in your account settings, using Manage billing. Cancellation takes effect at the end of your current billing period and you keep access until then. Other than your statutory rights (below), we do not offer partial-period refunds.

Your right to cancel. If you are a consumer, you may cancel within 14 days of first subscribing by emailing [email protected] with a clear statement that you wish to cancel. (There is a standard cancellation form in the Consumer Contracts Regulations 2013 you can use if you prefer, but any clear statement works.) By subscribing you request that we supply the service immediately; if you cancel within the 14-day period, we will refund what you have paid less a proportionate amount for the time you had the service.

Failed payments. If a renewal payment fails, access to the service is paused until payment succeeds. You can update your payment method from the Billing page in your account settings. Your account and stored data are unaffected while access is paused.

Changing plans. You can switch plans at any time. Switching mid-cycle results in a prorated charge or credit for the remainder of the period. If you downgrade, everything you have stored is retained, but new memory writes pause while you are over the new plan's limit.

Without a subscription. If your subscription ends, your account and stored data are retained. You can still sign in free of charge to manage billing, your projects, and to delete your data. Access to chat, memories, uploads, your personal API key and MCP resumes when you subscribe. If your account has no active subscription for 6 months or more, we may delete the account and its stored data after giving you notice by email.

Price changes. We may change plan prices with at least 30 days' notice by email. Changes apply from your next billing period after the notice ends, and you can cancel before they apply.

6. Project Credits

Projects run on prepaid credit. You can top up between £5 and £1,000 at a time through Stripe checkout. Credit is consumed by per-operation fees, a daily storage fee for stored memories, and AI processing charges (our providers' costs plus a service margin, converted to sterling at a fixed rate we review periodically). Current rates are shown in the console. If you are a consumer, your right to cancel (Section 5) applies to credit top-ups: within 14 days of a top-up you may cancel it and we will refund the unused portion.

Credit expires 12 months after the date of purchase if unused, with the oldest credit used first. Promotional credit expires 12 months after it is granted.

New accounts receive a one-time promotional credit of £5 on their first project. Promotional credit has no cash value, is non-refundable, and may not be obtained more than once per person, including by creating additional accounts.

Because some processing runs in the background, your balance can go below zero. If it does, new API requests are refused and we will attempt to contact you by email with reminders over approximately 20 days. If the balance is not restored, the project is suspended: API access and console access to stored memories are paused, and your data is retained. Topping up reactivates the project automatically; any negative balance is deducted from the top-up. Projects that remain suspended for 90 days or more may be permanently deleted after further notice.

Reminder timings are approximate and we cannot guarantee delivery of reminder emails. If a payment is reversed through your card provider, the corresponding credit is removed from your balance.

7. AI-Generated Content

Our chat service uses third-party AI providers to generate responses. You should be aware that:

  • AI-generated responses are produced by artificial intelligence, not humans
  • Responses may be inaccurate, incomplete, misleading, or out of date
  • AI Output does not constitute professional, legal, medical, financial, or other specialist advice
  • You are solely responsible for verifying any AI-generated information before relying on it
  • The same or similar responses may be generated for other users

We do not guarantee the accuracy, reliability, or completeness of any AI-generated content.

The AI Providers we currently use include OpenAI and Anthropic. When you send a message, your conversation content is transmitted to the relevant provider to generate a response. Your use of the service is also subject to the usage policies of our AI Providers, as updated from time to time. We may add or change providers from time to time.

8. The Memory System

Our Memory System stores information from your conversations and uses it to personalise future responses. It remembers facts, preferences, and context across sessions, and performs background processing to organise stored information. We may review memories for service improvement and quality assurance; where human review is required, we will take reasonable steps to de-identify data before review.

The Memory System may cause the AI to make assumptions based on prior interactions. You can request the deletion of Memory System data at any time.

For full details on how the Memory System processes your personal data, see our Privacy Policy.

9. Acceptable Use

You agree not to use our services to:

  • Violate any applicable law or regulation
  • Generate, store, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Input personal data about third parties without a lawful basis to do so
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Access the platform by automated means, except through the documented API, MCP endpoint and official SDKs using an API key issued to you; automated access to the web and console interfaces requires our written permission
  • Circumvent any usage limits or access controls, including by creating multiple accounts to obtain repeated promotional credit or free trials
  • Upload files containing malware, executable code, or any content that is illegal, harmful, or infringes the rights of any third party
  • Upload files containing personal data of third parties without a lawful basis to do so
  • Use AI Output to impersonate a real person or create misleading content
  • Attempt to extract, reverse-engineer, or circumvent the safety measures of the underlying AI models
  • Build a substitute for the Neurophic memory platform by systematically extracting our outputs, or resell raw access to our API as your own memory service; building applications on the API, including applications with memory features of their own, is expressly permitted

We reserve the right to suspend or terminate your account if you breach these Terms. Where possible, we will give you notice and an opportunity to address the breach before taking action.

10. Your Content

You retain ownership of the content you submit to the platform, including messages and uploaded files. By submitting content, you grant us a limited licence to process, store, and transmit it as necessary to provide, secure and improve our services, including transmitting it to AI Providers and processing it through the Memory System. This licence ends when your content is deleted: individual memories and entities when you delete them, and your chats, uploaded files and remaining content when you delete your account, subject to reasonable backup and deletion timescales.

Uploaded files are subject to the following restrictions: a maximum file size of 4MB per file, a maximum of 5 files per conversation, and only supported file types (JPEG, PNG, GIF and WebP images, PDFs, plain text and CSV files). File upload requires an active subscription. We may change these limits at any time.

You confirm that you have the right to submit any content you provide, including uploaded files, and that it does not infringe the rights of any third party.

11. Intellectual Property

All rights, title, and interest in the platform, including its design, code, branding, and underlying technology, belong to Neurophic Limited. Nothing in these Terms grants you any rights in our intellectual property beyond the limited right to use the platform as described here.

AI-generated responses are provided for your use. We do not claim ownership of AI Output. However, AI Output may not be unique to you, and we make no guarantee that it is original or does not infringe third-party rights.

12. Limitation of Liability

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under English law, including your statutory rights under the Consumer Rights Act 2015

Our services are provided with reasonable care and skill in accordance with the Consumer Rights Act 2015. If our services do not meet this standard, you have statutory remedies and nothing in these Terms affects those rights.

Subject to the above, our total liability to you for any claims arising from or related to these Terms or your use of the platform shall not exceed the greater of £100 and the total fees (including subscription payments and credit purchases) you have paid us in the 12 months preceding the claim.

The service is provided on an "as-is" and "as-available" basis. We are not liable for any indirect, incidental, special, or consequential losses, including loss of profit, loss of data, or loss of business opportunity, except where such losses arise from our negligence in protecting your personal data. We are not liable for loss of chat history, memories, or other user-generated data where we have exercised reasonable care and skill; nothing in this paragraph affects your statutory remedies for paid digital content. We recommend keeping your own copies of critical information.

13. Service Availability

We aim to keep the platform available at all times, but we do not guarantee uninterrupted access. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including third-party AI provider outages).

Planned maintenance may make the entire service, including the API and MCP endpoint, temporarily unavailable; daily storage fees for project memories continue to accrue while your data remains stored.

We may modify, update, or discontinue features of the platform at any time. Where changes materially affect your use of the service, we will give you reasonable advance notice.

14. Projects and API

Projects are the unit of contracting and billing for the API: the project owner is responsible for the project, its credit, and everything done with its API keys. Each account may create up to 5 projects. Where you use Projects in the course of a business, consumer protections do not apply to that use, and our total liability arising out of Projects, the API and Schedule 1, however arising, is limited to the greater of the amounts paid for the affected project in the preceding 12 months and £100. Section 12's exception for negligence in protecting your personal data applies to your own personal data, not to End-User Data.

API keys are confidential. You are responsible for keeping them secret and for all usage and charges under them until you revoke them, including if a key is exposed in client-side code. Notify us at [email protected] if you believe a key is compromised; we may revoke keys we believe are compromised.

Plan quotas count successful API requests. An accepted ingest request (HTTP 202) means your content has been queued for processing, not that a memory will necessarily be stored; near-duplicate content may reinforce an existing memory instead of creating a new one, and stored-memory limits may prevent new writes. A display name supplied with an ingest request is stored on the identifier when the request is received, whether or not the request is accepted or a memory results, replacing any previously stored name; omitting the field leaves any stored name unchanged.

Your personal API key and the MCP endpoint require an active subscription, and usage counts against your account-wide plan allowances. For content sent to your memory by AI assistants you connect via MCP, you are responsible for what those assistants send; we are not responsible for third-party client behaviour.

We do not offer a service level agreement at this stage. Where you submit personal data about your application's users, Schedule 1 (Data Processing Terms) applies.

15. Cancellation and Termination

You can delete your account at any time from Settings. Deletion requires typed confirmation, and if you own any projects you must delete them first. Deletion is carried out by an automated process; when it completes we send a confirmation email, where deliverable, containing an erasure reference (ERA-) which is your proof of deletion. You can also request account closure by emailing [email protected].

When you delete your account or a project: any active subscription is cancelled immediately, and any remaining credit, promotional or purchased, is forfeited, except where the law requires a refund (including your 14-day cancellation rights in Section 5). If we terminate your account or project without cause, we will refund unused purchased credit.

We may suspend or terminate your account if:

  • You breach these Terms (and, where the breach is remediable, you fail to remedy it after being given reasonable notice)
  • We are required to do so by law
  • We reasonably believe your account has been compromised
  • We discontinue the service (with reasonable notice)

On termination, your right to access the platform ceases. We will delete your personal data in accordance with our Privacy Policy. You may request a copy of your data (see our Privacy Policy) before closing your account.

16. Changes to These Terms

We may update these Terms from time to time. For material changes that adversely affect you, we will give at least 30 days' notice by email or in-product notice before they take effect. Price changes apply no earlier than your next billing period after the notice ends, and you can cancel before they apply. Changes required by law, or changes that only benefit you, may take effect sooner.

For significant changes we may ask you to expressly accept the updated Terms in the product, and we record the version and date you accepted. If you do not agree to updated Terms, you may close your account before they take effect; if you close your account because of a material adverse change, we will refund unused purchased project credit.

The latest version of these Terms will always be available on this page.

17. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction over any disputes.

If you are a consumer, you retain any mandatory protections provided by the laws of the country in which you reside. Nothing in these Terms affects your rights as a consumer to rely on such provisions.

We are not currently obliged to participate in alternative dispute resolution (ADR) through a consumer ADR body, but we are committed to resolving complaints fairly and promptly. If you have a complaint, please contact us at [email protected].

18. General

  • Entire agreement: These Terms, together with our Privacy Policy, form the entire agreement between you and Neurophic regarding your use of the platform. This does not exclude liability for any pre-contractual statements on which you relied.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: We may assign our rights and obligations under these Terms to another organisation, and we will notify you if this happens. You may not transfer your rights or obligations without our written consent.

Schedule 1: Data Processing Terms

1. When this Schedule applies

This Schedule applies to personal data processed within a project: data submitted through the project's API keys, and data we derive from it ("End-User Data"). For End-User Data, you are the controller and we are the processor: you decide why it is processed, and we process it on your instructions. This Schedule does not apply to your own account, billing, or personal-key data, where we are the controller and our Privacy Policy applies.

2. What we process

Subject matter: memory content submitted to your project, the end-user identifiers you choose, any display name you optionally attach to an identifier (retained on that identifier until you overwrite it, reset it or delete the identifier), queries and retrieval parameters submitted with an identifier (processed transiently to serve the request, not retained as memory content), and data we derive to provide the service, including embeddings, extracted facts and predictions, entities and their relationships, links between stored memories, consolidated summaries, and processing metadata such as timestamps. Duration: for as long as your project exists, subject to the automated expiry described in clause 3. Purpose: providing the Neurophic memory service to you. Data subjects: the users of your application, and other individuals referred to in content those users submit (for example their family members, colleagues and contacts).

3. Our instructions from you

We process End-User Data only on your documented instructions, unless UK law requires otherwise, in which case we will tell you before processing unless the law prevents us. Your instructions are: the API and console requests you make, and the standing background processing that is part of the service: embedding; classification and fact extraction, using any display name you have attached to the identifier to attribute extracted facts to the correct person; prediction and novelty scoring, de-duplication, and selection of which submitted content is retained; contradiction detection; consolidation and transformation of memories, including rewriting dated events as standing facts; inference of links between stored memories; and relevance-based scoring, decay and automated expiry of memories, including permanent deletion of short-term submissions after the processing window. Our standing instructions also include reviewing a sample of processing inputs and outputs for quality assurance and service improvement, with reasonable steps to de-identify data where human review is required. Deletion of a project under the Terms, including after prolonged suspension, takes effect as your instruction to erase its End-User Data. We will tell you if we believe an instruction breaks data-protection law, but we are not obliged to monitor your instructions or content for legality.

One exception: we keep usage and billing records (per request: an internal end-user reference, the operation type, AI model used, token counts, cost and resulting charges) for our own billing and service administration, for which we are the controller. These records are deleted with the identifier or project they relate to; after that, only our payment processor's records and the amounts already charged remain, as described in clause 10.

4. Confidentiality

Anyone we authorise to access End-User Data is bound by confidentiality obligations.

5. Security

We implement technical and organisational measures appropriate to the risk, as required by Article 32 UK GDPR, including at least: encryption in transit; encryption at rest through our hosting providers; API keys stored as cryptographic hashes, with a short non-secret prefix retained for identification; per-project and per-identifier isolation enforced in our application code; and sanitisation of submitted content, metadata and display names before storage or AI processing. We may update these measures from time to time provided overall security is not materially reduced. You are responsible for keeping your API keys confidential and for access control within your own systems and console.

6. Sub-processors

You authorise us to use these sub-processors for End-User Data: Amazon Web Services (hosting; primary region London, with a global content-delivery edge), Neon (database), Cloudflare (network security), Vercel (AI gateway), OpenAI and Anthropic (AI processing). We will notify you of changes to this list by email with reasonable notice. If you object, you may stop using the service and delete your project before the change takes effect, and we will refund unused purchased credit on that project; this is your sole remedy for an objection, and if you have not deleted the project by the effective date, you accept the change. We may replace a sub-processor immediately where needed for security or service continuity, notifying you promptly. Our sub-processors are engaged under written data-protection terms: our hosting and infrastructure providers directly with us, and AI model providers under the agreements and controls our gateway provider maintains with them, including our instruction that submitted content is not used to train models. We remain responsible to you for our sub-processors' performance, subject to the limitations of liability in the Terms.

7. International transfers

Some sub-processors process data in the United States. We rely on the UK Extension to the EU-US Data Privacy Framework where the recipient is certified, and on UK International Data Transfer Agreements or equivalent safeguards where it is not.

8. Helping you with your users' rights

Your users' privacy requests are yours to answer; if one reaches us directly, we will redirect it to you. Taking into account the nature of the processing, we will assist you, insofar as possible, in responding to your users' requests: for deletion, through the console (deleting or resetting an individual identifier), the API (deleting individual memories) and project deletion; for rectification of a display name, by submitting the corrected name, which replaces the stored one, or by resetting the identifier; for access, through the API and console read endpoints. Because a display name can be incorporated into derived data such as stored memory content and entity descriptions, fully removing a name requires resetting or deleting the identifier rather than only changing the name. If your project is suspended, we will action a written erasure or data-return instruction sent from your account email address to [email protected] within 30 days; we may verify the request, and erasure of all End-User Data may be fulfilled by deleting the project. We will also provide reasonable assistance with your security, breach-notification and impact-assessment obligations, and may charge a reasonable fee for assistance beyond the tools described in this clause.

9. If something goes wrong

We will notify you without undue delay after becoming aware of a personal data breach affecting your End-User Data, with the information reasonably available to us at the time and further updates as we learn more. Notification is not an admission of fault.

10. When your project ends

You can retrieve End-User Data through the API and console read endpoints, at standard operation charges, while your project is active and in credit. When your project is deleted, we erase all stored End-User Data (memories, identifiers and any attached display names, embeddings and derived data). Copies of submitted content may persist in transient processing systems for up to 14 days before expiring automatically, and residual copies in encrypted backups and operational logs expire on our providers' schedules. The project's billing ledger is deleted with the project; payment records held by our payment processor and a pseudonymised erasure receipt are retained where we have a legal or legitimate need.

11. Demonstrating compliance

We will provide information reasonably necessary to show we meet these obligations, and will allow for and contribute to audits you reasonably require. We meet audit requests first through documentation and written answers; anything further requires agreement on scope, is subject to confidentiality, must not involve access to other customers' data or our providers' facilities, and is limited to once in any 12-month period, on at least 30 days' notice, at your cost, and conducted so as not to disrupt the service.

12. Your responsibilities

You warrant that you have a lawful basis for all End-User Data you submit and that your own privacy notice covers this processing, including the AI processing and transfers described above. You must not submit data about children, or special category data (health, beliefs, sexuality and similar), unless you have a lawful basis and appropriate safeguards. Use pseudonymous identifiers rather than names or email addresses as end-user IDs where feasible. If you attach an optional display name to an identifier, you are responsible for having a lawful basis to share it. Supplying a name makes the data stored under that identifier directly identifying, and it can be fully removed only by resetting or deleting the identifier. You are responsible for everything submitted under your project keys, and you will compensate us for losses, claims, fines and costs (including legal costs) we incur because of End-User Data you had no right to submit or your breach of this Schedule.
